Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the website, dashboard, wallet, and APIs provided by NaijaGateway Solutions (a business name registered in Nigeria under the Companies and Allied Matters Act 2020, Business Name No. 8399472, “NaijaGateway”, “NGS”, “we”, “us”) (together, the “Services”). By creating an account or using the Services, you agree to these Terms.

1. Eligibility

You must be at least 18 years old and able to enter a binding contract. You agree to provide accurate, current, and complete information and to keep it up to date.

2. Your account

You are responsible for safeguarding your login credentials and API keys and for all activity under your account. Notify us immediately of any unauthorised use. We may require identity verification (KYC/KYB) before enabling certain features, and we may suspend features where verification is incomplete.

3. The Services

NGS provides a unified platform for airtime and data purchases, cable TV and electricity bill payments, identity verification, a funded wallet with virtual accounts, and a developer REST API for these services. Availability of individual services may depend on third-party operators and can change without notice.

4. Wallet and payments

  • Your wallet is a prepaid balance used to pay for transactions. It is not a bank account and does not earn interest.
  • You may fund your wallet through the funding methods we make available, including dedicated virtual accounts.
  • When you make a purchase, the amount is reserved and debited from your wallet. Completed transactions are generally final.
  • If a transaction fails after debit, the amount is refunded to your wallet. Where a lookup or verification fee applies, it may be non-refundable, as indicated at the time of the request.

5. Fees, pricing, and commissions

Prices and fees are shown before you confirm a transaction and may change over time. Where you operate as a reseller or sub-agent, applicable discounts, commissions, and payout terms are as configured in your account.

6. API and developer use

API access is subject to your assigned plan, rate limits, and acceptable-use requirements. You must keep API keys confidential, use the sandbox for testing, and not use the API to overload, probe, or circumvent the Services. We may throttle, suspend, or revoke API access for violations.

7. Reseller and sub-agent terms

If you resell the Services or manage a downline, you are responsible for your customers and sub-agents, for the accuracy of your own pricing, and for compliance with these Terms. Commissions accrue and are paid as configured and may be withheld where fraud or abuse is suspected.

8. Refunds, reversals, and disputes

Failed transactions are refunded to your wallet automatically. If you believe a transaction is incorrect, you may raise a dispute through your dashboard within the applicable window. We investigate disputes in good faith; outcomes depend in part on confirmations from the relevant operator or biller.

9. Acceptable use

You must not use the Services to commit fraud or money laundering, fund or purchase illegal goods or services, abuse chargebacks or refunds, infringe others’ rights, or interfere with the security or integrity of the Services. We may report suspected criminal activity to the authorities.

10. Suspension and termination

We may suspend or terminate your access if you breach these Terms, if required by law or a regulator, or to protect the Services or other users. You may close your account at any time, subject to settlement of any outstanding transactions and legal retention requirements.

11. Third-party services

Some Services rely on telecom operators, billers, banks, and identity-verification providers. We are not responsible for their downtime, delays, pricing, or decisions, and delivery times may depend on them.

12. Intellectual property

The Services, including our software, branding, and documentation, are owned by NGS or our licensors. We grant you a limited, non-exclusive, non-transferable right to use the Services in accordance with these Terms.

13. Disclaimers and limitation of liability

The Services are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim implied warranties and are not liable for indirect, incidental, or consequential losses. Our total liability for any claim relating to the Services is limited to the fees you paid to us for the transaction giving rise to the claim.

14. Indemnity

You agree to indemnify NGS against claims and losses arising from your misuse of the Services or your breach of these Terms.

15. Governing law and disputes

These Terms are governed by the laws of the Federal Republic of Nigeria, and disputes are subject to the jurisdiction of the courts of Kaduna State, Nigeria.

16. Changes to these Terms

We may update these Terms from time to time. Material changes will be posted on this page with a revised “Last updated” date, and continued use of the Services constitutes acceptance.
